Sure, but I think there is a difference between lying and choosing not to disclose Visa's criticisms of ISX's business. I'm not sure what ISX's disclosure obligations would be in that case tbh, given that they then viewed Visa as a hostile competitor.
Visa listed several reasons for ending the agreement. ISX focused on the bad media coverage / suspension reason, and the ASX focused on the AML compliance reason. Only Visa would know the real reason that they ended the agreement.
