Maybe they should get the shares at not $1.20, but at 5% discount to market price at the time of issue, that is not much different to what shareholders get in a re-investment scheems offered by some companies.
If the directors perform, then they will be rewarded.
$1.20 is a very low price to be getting the shares, it does look bad in my book.
I think they should have thought this out better.
