not to rain on your parade, but Australian tax losses are subject to the Continuity of Ownership Test. Under this test, the purchaser would not be able to utilise the losses (unless the Same Business Test is satisfied). This measure is in place to prevent big companies from buying broke companies for pennies to absorb their tax losses, and effectively pay no tax on their other income.
