tat68, not unusual to launch SPP and then have meeting before the offer closes. has happened on a few stocks i currently hold. I guess they would do background calc's first ie of their major holders and directors but there would always be that possibility it gets voted down. maybe its also a bit of enticement ie. the offer is in your hands and the SP is above offer price = in the money.
