I don't see avoidance of class action is the main issue, otherwise they would be lifting the bar and taking more out, we know from law they can't buy more than 20% of shares, so how does taking 80% of the holders out make class action avoidable, if anything it makes it easier for remaining bunch to get together as litigation funder has fewer clients to manage, we know from SoG case it only takes one shareholder action to succeed.
If MacBank were worried about class action why not take the lot and avoid the issue totally.
The main game is keeping the project finance intact, equity side of the equation doesn't matter as they are on the hook regardless for that but finance is not replaceable in current environment.
