It's a fair consideration.
And long term quite possibly more profitable for the shareholders.
However, I think most are comfortable with the approach to achieve quick big win (even if ongoing licensing model would be more lucrative over time).
The old "I want it now" tale.
and shareholders are welcome to invest in the acquirer directly.
