I don't think sophisticated investors are "haphazard" at all. Minimum requirement to be a sophisticated investor is $2.5m in assets and $250k income per year for the past two years. These people have money and they know how to make it. They get an offer like this and they're going to take it.

Clee Capital work this space pretty hard. They also know how to make money. Why wouldn't they approach the company with an offer like this when their net return will be pretty significant. If the rumours about broker fees being paid in options is true then they have done themselves a service as well because this company's share price is heading north in a big way. Even if it's not after the raise. They post record QoQ growth and the price isn't going to hang around under $1.
