Union Resources Limited (Union) wishes to advise that the despatch of its bidder’s statement dated 1 May 2009 (and announced to ASX on 5 May 2009)(Bidder’s Statement) was due to be completed today but has been delayed whilst Union finalises a supplementary bidder’s statement (Supplementary Statement).
Primarily, the Supplementary Statement is being prepared as Minemakers Limited (Minemakers), a competing bidder for Bonaparte Diamond Mines NL (BON), has now received acceptances under their takeover bid for more than
50% of fully paid ordinary shares in BON and their offer is now free of conditions. As a result, it will be impossible for UCL to obtain control of BON unless Minemakers accepts the offer from UCL. UCL considers this to be unlikely because Minemakers is a competing bidder for BON and the intentions disclosed by Minemakers in its bidder’s statement and supplementary bidder’s statements do not indicate this will be done.
Union is in the process of finalising its Supplementary Statement which will advise of the new dates and intends to despatch the Bidder’s Statement and Supplementary Statement to BON shareholders together as soon as possible.
