There are two things you can do.
Gather HC and SS proxies and go the AGM. Have a pre-AGM meeting to discuss strategies
You need to ask some well researched and embarrassing questions:
1. Regarding the LTIO's.
"Shareholders voted down rewarding Peter Cook with LTIOs and the board went ahead to shower Peter Cook with the LTIOs in pure contempt for shareholders"
2. Their reply is going to be that it is in line with management practice. You need to research other companies and find out what they get for similar sized companies.
3. If shareholders vote against additional rewards, ask the directors if they are going to approve them anyway. If they hedge, withdraw your support for their renomination as director. If it is too late, say next AGM you will vote against them.
4. His invisibility during the initial flu scare was incredible. Look at what other companies did that had any sort of flu medicine. He could have said that we are proud to have developed one of only two treatments for the swine flu. Not they (GSK) don't tell us anything. Bring announcements from other companies as examples.
