I am not an expert but would ask if the vote is binding - it is not like a remuneration vote where 25% can see it voted down. I think, in this case, they would only need 50%. I am just hoping enough share holders vote against it to make a point.
Not sure in this case that they would be precluded from voting as it is a company strategy and it could be claimed not a direct advantage to any board member.
