Just had a look at these links. Sam Wright was around back then, so he would be the best person to chat with re this. He and Bryant both come from equities backgrounds, not pharma. It looks like they were trying to add to Epichem's business by way of diversification, but O&G seems an odd fit? Then maybe they finally found Pitney as a better option.
Other guess is that they wanted to acquire the O&G assets to later spin-off into different entities? This would be messy along side a pharma company, but still cheaper than doing an RTO??
