Your correct, apologies. However the placement structure is much like a con note. In this case the investor can call upon part or all of the subscription shares at anytime within the 2 years from prepayment and choose the lowest 5 day VWAP from the last 20 trading days on top of a 5-8% discount. Theres also several of other discounts hidden in amongst fees payable in shares (1,353,982 of them) and the 2 tranches of $1,590,000 worth of shares they buy for just $1,500,000. So there getting an extra $180k worth of shares thrown in.
Why didn't they just raise the $4,500,000 on simpler terms? They could have under the 15% cap you'd think. Is this to get some access to equity through New Life Sciences down the road? RGS has a few really nice developments I've been watching, just wish this raise was a bit more garden variety. AIMO
