skaterBOY...this is not about a dividend but about setting in place a policy for such. After all, the directors already pay themselves an enormous and unreasonable dividend.
Bringing their attention to a dividend policy might somehow persuade them to look at rule number one why they are there...not just to fatten themselves but to work in the interest of all shareholders to whom, by the way, they also ought to be responsible.
