    Your original question was:

    "dargie how will it be a challenge if management gets to decide all the terms of a restructuring and no approval is required from BEPPA holders?"

    Clause 11.3 is the section relating to voting rights.

    "If management can arbitrarily restructure BEPPA without any approval of the BEPPA holders, then the security is a fraud. Why would any person agree to buy such a piece of jello that could be morphed by management at any time and for any reason into anything they needed it to be?"

    BEPPA are managed by BBI EPS Limited ACN 125 830 631. It can only act in accordance with the powers vested in it by the Constitution and Terms & Conditions.

    Try reading these and obtaining an understanding of how the securities are managed and the rights attaching to them before making rash statements about "pieces of jello".
