    Based on the closing prices of the two companies on Friday 14 August 20091, the proposed merger terms equate to a value of 9.5 cents per Brandrill share, representing an attractive premium of:
    • 77% to the volume-weighted average price (VWAP) of 5.4 cents per share for the 30 days prior to the Announcement Date; and

    • 44% to the closing price of 6.6 cents per share on 14 August 2009.
