There are plenty of reasons to be critical of this board, and I certainly wouldn't hold that against you. But I think it is important not to disseminate false information.

Whilst they were prevented from using the votes from the capital raise, the intent was there.

As for proxy votes, this shows their desperation at the time, using shareholders money to "campaign" for themselves:
