If you sell your company or part of your company for a dollar amount and some shares there is still a value on those shares.
A simple example would be if you swapped a house for some shares.
The purchaser also adds the shares, (even if they are performance related and issued at a later date) to the capital cost and asset of the purchase.
I am not sure about what shares you are referring to that were not paid for.
Whoever is selling is most probably losing money. The only exception would be a few bought at 1.2
