A term sheet that precedes detailed due diligence is standard. The fact that this term sheet includes a *schedule with dates* for finalization of the merger suggests that this deal has a strong probability of closing.
I would certainly consider selling at $12.50. The question you have to ask yourself is do we get a competitive bid. Now that the real number is published, Monsanto or another Chinese company is going to ask itself if there is more value here than $13, and maybe some company is going to answer that with 'yes'.
