How well CRM does in this transaction will be influenced by management to quite a large extent. If UMC management just want out at $1.50 then there are several ways they can scuttle attempts by CRM to intervene.

I haven't read the placement doc in detail but I imagine it isn't a done deal as yet? Hopefully CRM get on the register as it will be a reasonable sized blocking stake with some major shareholder support.
