If you do nothing then your shares do not get counted in the vote - "do nothing" = abstaining from voting. The chairman doesn't get to vote on your behalf in that case.
If you want to have your vote count, either fill in and return the proxy form or register to attend the meeting and vote using the details you'll receive after you register.
With that said, I believe entities associated with Stuart McAuliffe & friends hold at least [and possibly substantially more than] 45% of the Henry Morgan shares. I suspect the resolution to wind up the company is just window dressing, possibly with a view to trying to convince the court to not wind up the company - I can't see any way the resolution is going to pass as a special resolution. I would say the most likely path to a wind up occurring is having that as the outcome from the court proceedings, not because of the vote at the General Meeting.
