All very true. So maybe what we are looking at here, is a company that had become a sitting duck for a hostile market bid. An outright take-over would not possible due to the shareholdings of the board, but a hostile bid could gain control making life very difficult. Therefore, the chairman and major shareholder decides to move first to retain control over the process.
