A break fee of US$20 million is payable by PMPL to Huayou if the Transaction does not complete due to any of the following:
a competing transaction completing within 12 months, following the competing transaction being recommended by Prospect directors; any director of Prospect changing, withdrawing or adversely qualifying their recommendation of the Transaction where there is no competing proposal and
Prospect shareholders do not approve the Transaction; PMPL failing to carry out its obligations to complete after all conditions precedent have been satisfied or waived (other than as a result of default by Huayou); Prospect or PMPL being or becoming insolvent
A vote of YES is a must, otherwise PSC will have to pay break fee of US$29m
