I've never seen the TOV investigate unless the complainant can supply specific financial or accounting forensic proof of a (potential) misdeed. Nothing in this document indicates that this was forthcoming. It hardly ever is, because the complainant usually does not have access to the financial and business transactions of the company, and because many of the negotiations and agreements between takeover companies often take place out on the golf course.
So, I'm (almost) 100% sure the TOV will decline to investigate, as they do in well over 95% of these cases. The takeover should proceed as reported.
