Its in effect a discount being applied to the offer price that suggests the market considers there is a meaningful chance the deal is not approved.
Although the offer looks quite attractive now, as opposed to when it was thought they'd be another bid, if a group of shareholders plan on blocking the offer for other reasons it does not make a difference.
