My experience of sophisticated investor raising is that the price is usually between a 10 and 20 % discount to the VWAP of the share price on the preceding between 5 and 20 days. This was frankly irresponsible.
And, I do prefer offers to include all shareholders - VPG just managed a quick and sucessful offer to all holders.
