Hi guys,
I strongly suggest TEX to gave a takeover bid for ODN at 4.5c.
Currently ODN is absolutely a bargain. Its market value is $3.1 million, but its net asset is $9.5--14.0 million.
Say,to give a 4.5c bid, TEX needs to spend $5 million, and after the deal TEX can get:
1, $3.75 million cash back( $2 million cash on hand, plus $1.75million cash KOG will pay to ODN next month)
2, $2.3 million secured loan to AVD which is due in June, 2010. as it's a secured loan, we can acquire AVD's asset if AVD breach the agreement.
3, $3.0 million oil-field properties.(in ODN's annual repoprt it's $2.85 million, however oil price going up a lot since Sep 2009)
4,$0.7 million of listed shares (including TEX shares---equals to a 2.6% share buy back, and acquire other company shares)
5, potential $4.5 million cash back subject to the legal action result for which most likely ODN will win the case. odds>75%.
6, ODN has no debt!!!
So if a 4.5c bid is successful( at which I believe more than half of the ODN shareholders will accept) TEX can secure net profit $4.8 million--9.3 million within one month!
If TEX offers 5.0c per share, the net profit is $4.2-8.7 million.
If TEX offers 5.5c per share, the net profit is $3.6-8.1 million. (at which I believe 88% ODN shareholders will accept the offer)
$Millions profits within 1 month for TEX and without issuing 1 share!!! but buy back 2.6% shares!
what we do is to give the bid, sell ODN's assets and take the profits!
**********************************************************
Why currently ODN's SP is only 3c? because IMO SP has been manipulated buy AVD who actually also wants to give a takeover bid before its loan is due.
If you check ODN's chart, clearly you will find how well ODN shares been controlled.
ODN's shareholders already fed up with its directors, who give the offer first, who will take the huge benefits in short time!
I also strongly suggest the English natives speakers whoever supports my view,to write to the TEX board. This is really a golden opportunity for TEX!!!
