“As set out in Section 2.2, the primary purpose of the Offer is not to raise capital but to comply with section 708A(11) of the Corporations Act. Accordingly, the amount raised under the Offer is nominal (i.e. A$25 through the issue of one hundred (100) Shares at an issue price of A$0.25 each) and, after paying the expenses of the Offer of approximately A$43,206 (exclusive of GST), there will be no net proceeds from the Offer.
