not sure whether your take on this might be right as I have been involved in a few recent capital raisings classed as "material"....
I don't personally think it is anything else....material is fact mkt cap is only about $20m and at minimum probably should be seeking to raise $3-5m to cover next lot of drilling activities, which in view of market cap makes it material.,
But keep up the commentary as always enjoy reading your posts
