Correct, but spot price is not critical to the transaction ratio as spot goes up both DYL/VMY share prices also go up, we are interested in the ratios.
For example:
Offer ratio was 3.74
Current trading ratio is: 4.04 (=97/24)
Trading ratio needs to be below offer ratio of 3.74 for VMY to be trading at a premium to offer.
