I believe at least 50% of shareholders must vote in favour, comprising at least 75% of the votes actually cast; meaning that not voting means your shares aren't counted when calculating whether 75% was reached. Therefore if either more than 50% of holders vote against, or more than 25% of votes cast are against the proposal then it will fail.
But I am absolutely not an authority on this question.
