    Several scenarios in your post. All of which are completely probable.

    Rest assured, the company will not be providing or doing anything that could potentially increase the value of the company.

    Also rest assured, that due to the shenanigans that the BOD have been involved in, that without doubt, the shareholders would be quite entitled - unless the BOD are able to secure a better deal......and that will be borne out by the inevitable NO vote for the scheme, despite the murky goings on in the SP manipulations (especially the cross trades), that there will be a potential for a class action against the BOD on a PERSONAL level.

    It's quite simple - if the BOD as individuals have profited at the expense of shareholders, or if the BOD as individuals or as an entity, have deliberately overplayed the value of the company in the past, or if the BOD have made representations to shareholders that never had a chance of being reality, or if it can be demonstrated that the BOD as individuals, or as an entity, had already made alternative arrangements with Pfizer regarding personal benefit without informing shareholders, or the BOD as individuals or as an entity, have deliberately withheld information from either shareholders, or ASIC, or if it can be demonstrated that any member of the BOD, either as an individual, or as an entity has previous, official or unofficial communication with the expert witness, to make unofficial representation.

    then if any of these cases, (although my gut feeling says all of the cases) then, this would almost certainly be enough to trigger a class actions against the BOD, either as an entity or against individuals.

    So the BOD must now be somewhat concerned. If the No vote gets over.......they are now in jeopardy as individuals, but even so, if the No vote does not succeed, they must be in even greater peril, as any class actions will take into account actual loss.

    Should it come to a class action, it will take some time.....but would like to know how other S/H feel about this potential course of action.....there is nothing that can be done to prevent the current scheme going ahead. But there is a lot that BOD can do to prevent some very unpleasant repercussions. ie negotiate a price that S/H are comfortable with.
