Two year is costing $1.45 million just for the $5million, so 29% in fees to borrow this money.

Then after 3 months they can convert for shares at a discount diluting us anyway !? I dont see how this is better than a cap raise, atleast with a capraise the lead manager only keeps 6% leaving DW8 with 94% of money raised, with this deal they are losing 29% to fees , only keeping keeping 71% as opposed to 94% of a cap raise. Not the best deal at all.

With a con note I thought that the interest was accrued and then turned into equity at the end?

So we will have access stright away to the 5mil less 5% establishment fees.

At the conversion date we will issue equity to the value of the note + interest for what ever the SP is at conversion.
