If an inferior acquisition produces less EPS than current, then it is most likely dilutive for shareholders, especially if shares are released to make the acquisition, ... unless there is some sort of synergy that makes up for the dilution.
Shareholders don't need scale. Scale from an inferior acquisition only suits the board, not shareholders.
