Not so long ago I had a large holding in a Co and a large accountancy firm was asked to do due dil on a proposed "deal" with a foreign co none of us had ever heard of. The result that came in - "concluded that the Scheme is fair and reasonable" told us all that we should welcome the addition of all these new peeps. A few months after the deal was concluded and millions of our shares were given away, the "foreign" Co was found to be worthless. The Co is now delisted and no accountants have been taken to task. So beware the phrase "concluded that the Scheme is fair and reasonable to shareholders".
