A no vote will certainly leave the board in an interesting position - untenable would probably be a suitable description.
If a no vote gets across the line, I see no choice for them but to depart - the advice given will have proven to be self serving and thus conflicting with their duty as directors to protect shareholders' interests.
It may at least provide an opportunity to reign in some of the profligate spending which seems to have infused the organisation over the last few years.
