If Resolution 9 is passed, the maximum aggregate amount of fees payable to the non-executive Directors will increase by $150,000 to $500,000
In the past 3 years, the Company has issued 9,000,000 Performance Rights to nonexecutive Directors pursuant to Listing Rules 10.11 and 10.14.
These Securities were issued to the following non-executive Directors:
1.1.1 3,000,000 Performance Rights were issued to Anna Neuling;
1.1.2 3,000,000 Performance Rights were issued to David Chapman; and
1.1.3 3,000,000 Performance Rights were issued to Keith Liddell.
"If Resolution 9 is not passed, the maximum aggregate amount of fees payable to non-executive Directors will remain at $350,000. This may inhibit the ability of the Company to remunerate, attract and retain appropriately skilled non-executive directors"
