I don't and doubt that the number 2 shareholder would be wagging the dog. They could however have pointed out to management a better development path that would be blocked by the proposed side agreement.
Important to note that the side agreement is an attempt to remove a right MOG and CUE currently retain, hence any refusing to sign would be to retain more of value CUE and/or MOG are entittled to, ie in shareholders interest.
Remember that however this farmout proceeds, the prospect will get drilled, and if there is gas there CUE will own 15% of it, and is fully entittled to protect the potential value of that 15%. The gas (if it is there) is not dependent on the swift execution of these side agreements.
