Seems part of the process is for OZL to commission an independent expert report.
Probably a legal requirement for the SoA but would also cover directors on agreed price and give directors leverage to negotiate an increase in bid price if IER low point comes in higher than the bid price.
At $10bn difficult to see a white knight emerging.
