Hi Seahunt, my understanding is that the offer is unconditional, therefor MIN only require 50% to take effective control of the company. There is no condition that they must receive 90%, however they of course won’t be able to compulsory Aquire remaining shares unless they get to 90% ownership at some point.
I guess something for discussion, assume MIN get control (ie over 50%) , at what point could they decide to de-list the company from ASX? My guess is they would need to pass a special resolution, which I think needs 75% of votes from people who bother to vote. One of the joys of remaining a minority shareholder.
