3.1 Conditions
Subject to this clause 3, the Scheme will not become Effective, and the obligations of BHP under clause 2.2 are not binding, until and unless each of the following Conditions are satisfied or waived in accordance with clause 3.4:
(a) Regulatory Approvals: Before 5:00pm on the Business Day before the Second Court Date:

1. (i) Brazil competition approval: BHP has received clearance by the Brazil Administrative Council for Economic Defense in respect of the Transaction either unconditionally or on conditions (including any undertakings) that are acceptable to BHP and OZL (each acting reasonably);
2. (ii) Vietnam competition approval: BHP and OZL have received clearance (whether by expiry of the relevant review period or express confirmation) from the Vietnam Competition and Consumer Authority (or any other entity
