    Basically it means Macquarie Bank Limited (the writer) is sufficiently interested in the Aura story that it is positioning to be able to make a takeover bid in the future. The equity swap is with it's trading partner MMAM who is physically buying the stock.

    Since they explicitly state it's "cash settled", this is one of several criteria that allows them to circumvent the usual disclosure under the substantial shareholding provisions.

    However, "Failure to disclose the existence of the swap in respect of more than five per cent of the shares in a timely manner may give rise to ‘unacceptable circumstances’. This may be the case if it can be shown that the effect of the swap or the failure to disclose its existence infringes the Eggleston principles which, among other things, require that the acquisition of control over shares takes place in an efficient, competitive and informed market."

    So they're playing nice so as not to fall foul of this potential hiccup and as per the announcement, "Disclosure of MMAM’s position may not be required in accordance with Chapter 6C of the Corporations Act, but may be required byAustralian Takeovers Panel guidance. Accordingly, we have modified the disclosure below as it relates to “relevant interests”, “votes”and “voting power”.

    So it's very positive in terms of demonstrating a clear intent to be able to acquire the company in future, and in so doing control the share price associated with offer also, all fairly standard but still a massive uptick in positive sentiment toward a micro-cap developer.
