The points you make are 100 per cent valid, and Directors have as much right (excluding blackout periods) to sell as we do, but historically 'Mr Market' dislikes this and tends to accordingly mark shares down.
He concludes, rightly or wrongly, that Directors are in possession of negative information regarding company prospects.
