Some do - but it's the influence of the big institutional holders that in general vote for these things in the affirmative - so small retail holders don't have sufficient influences to vote those freebies down. Then, when there is a CR, as you know, the sp it's offered at is at major discount to market prices hence favoring the institutions. Then the directors take their share (freebies or otherwise) - a heck of a lot more than any retail holder ever can.
Cycle tends to repeat time and time again and with many companies - even with those that haven't made penny and such are more likely to have more CR's.
