The JV will just be a research collaboration.
So you are correct, there will be no milestone payments or royalties between the JV partners.
Eventually the JV will commercialise its joint IP and receive milestone payments and royalties from a BP.
The question is what each partner is going to contribute to the JV. COH will conduct clinical trials using its own doctors. What is RAC going to contribute to the clinical trials? The GMP drug, but that's not enough. Which staff will RAC contribute? And do you think that the COH lawyers will agree that COH's brilliant discovery of CS1's mechanism of action is worth nothing?
