A scheme of arrangement needs 75% to pass, so it needs quite a lot of retail holders to vote for it. So yes if large numbers of shareholders vote against it, doesn’t matter what the BOD recommend. In the last annual report the top 20 shareholders only accounted for 36% of the shares, so it’s very open.
