The marketing has a price, and the shares should be issued in accordance with the price of the marketing. It's a bad deal because it wasn't restricted from the outset.
If they've paid for (say) $1m of marketing over three years, in week 2 (of 156) the company has agreed to pay +$3m for $1m of marketing.
I can't see any mention of KPIs or targets, what is performance?
