I had thoughts along the lines of can they buy on market with news imminent - no, can they be issued with shares with approval from shareholders even if news is imminent - probably yes, but I would expect that news be announced/discussed before the final vote. I dont see how BOD can claim that OTA(s) is being reviewed and ask for more shares at same time.
