Regal confirms that, on 24 July 20231
, it provided Pacific Current with a confidential and non-binding indicative proposal
to acquire all of the issued ordinary shares in Pacific Current at an implied value of $10.772 per share, to be implemented
by way of a scheme of arrangement for 2.2 shares in ASX-listed GQG Partners Inc. (ASX: GQG) (“GQG”)3 plus $7.50 in
cash per Pacific Current share (the “Proposal”).
