"Under the Placement and SPP, and assuming the Company raises $5 million under the
SPP, the Company will issue 900,000,000 New Shares and 450,000,000 New Options,
which would have the effect of diluting existing Shareholders by up to approximately
30.50% on a non-diluted basis and approximately 39.43% on a fully diluted basis
(assuming exercise of all of New Options and convertible securities on issue as at the
date of this Prospectus).
