There is no "vote to sell", EMR opens the offer, and either closes the offer at the stated time or extends it, depending on uptake. Each holder makes their own decision.
And as the majority of the 40% of shares that EMR is trying to buy has no connection to the various court cases, I would guess that the open offer can not be tied into the court case settlement.
